BYLAWS
SERVE THE NEED IN JOHNSTON COUNTY, INC.
The Serve the Need in Johnston County (STNinJC) is a young diversified non-partisan organization formed by a group of Johnston County Concerned Citizens on November 19, 2008. It was State chartered on February 10, 2009 and qualified on the same date as a charitable non-profit organization under IRS Regulation 501(c)(3).

ARTICLE I NAME AND LOCATION
The Name of this Organization of Concerned Citizens shall be SERVE THE NEED IN JOHNSTON COUNTY, INC. (hereafter
referred to as the Organization or the STNinJC) . The address shall be Post Office Box 1016, Clayton, North Carolina 27528-
1016.
ARTICLE II PURPOSE AND MISSION
Purpose
A. To promote and encourage diversity with respect to gender, age, race, national origin, sexual orientation, religion,
and disability in all community activities in Johnston County which will enhance community services in Johnston County.
B. To provide citizens with information and assistance with respect to educational needs (K-12 and special education),
health care concerns, social security eligibility, and veterans affairs, among others.
C. To assist local citizens with information regarding available services in the areas of education, medical and
psychological services, housing, and financial needs.
D. To inform members of the needs of the community, to match their backgrounds with these needs, and to solicit their
volunteer participation in addressing them.
E. To explore Research and Demonstration (R&D) Grants relating to providing free medical and mental health services
to the poor and uninsured who have chronic diseases.
F. To establish a Scholarship Program for the purpose of providing financial assistance to college bound high school
seniors who are dedicated to the pursuit of academics and to serving their communities. The Scholarship Committee shall
determine the selection criteria. IRS rules will be followed and selection of recipients will be made on an objective,
nondiscriminatory basis.
G. To establish a data bank of all community resources available to County citizens.
H. To establish four area offices Countywide to carry out the purposes of the Coalition.
Mission
The STNinJ exists to promote diversity in its membership, to inform and involve its members in community activities, to
advance a spirit of commitment among its members in the volunteer process, and to assist the Johnston County citizens in
their educational, health, and welfare concerns. Based on the current critical economic conditions facing our Country, the
Organization exists to address some of the gaps in community services for our Johnston County citizens; such as their
education, health, social, welfare, and financial needs, and to address these gaps wherever possible.
ARTICLE III ORGANIZATION
A. Membership in the STNinJC shall consist of the following:
- Member must be a dedicated and motivated individual who supports the purpose and mission of the Organization.
- Member must sustain membership in the Organization by paying dues.
- The term of membership extends twelve months from date of new membership or renewal of membership. A listing of
the Organization members and contributors shall be posted on the STNinJC's Website.
B. The STNinJC's annual meeting shall be held during the second quarter of each calendar year beginning in the year
2009.
ARTICLE IV OFFICERS
A. The Officers of the STNinJC shall be a President, Vice-President, Secretary, and Treasurer and such additional
officers as may be directed by the executive Committee of the Organization. Such officers shall serve for a period of two
years commencing on January 1 after the Coalition's fall meeting or until their successors are duly appointed. All officers
are eligible for renomination at the discretion of the Nominating Committee.
B. The President shall be the presiding officer and shall have general supervision over the affairs of the STNinJC.
He/she shall perform such other duties as are incidental to the office and as may be assigned to him/her by the
Organization's Executive Committee. In his/her absence, the Vice-President shall preside. If neither of these two senior
officers is present, the members shall designate a presiding officer. After January 1st of the year of his/her election, the
President shall appoint standing committees and other committees, and the chairpersons of these committees as may be
required. The President shall be an ex-officio member of all such committees.
C. The Vice-President, in the absence of the President, shall exercise the authority and perform the duties of the
President.
D. The Secretary or his/her duly authorized representative shall issue a notice of all meetings of the STNinJC and shall
attend and keep the minutes of such meetings.
E. The Treasurer shall see that all monies are deposited in the name and to the credit of the STNinJC in such
depositories as may be approved by the Executive Committee. All checks and orders for payment of money shall be signed
by such officers and their successors in office or other persons as the Executive Committee shall from time to time
designate. He/she shall perform all duties as may be assigned by the President. The Treasurer shall be bonded and the
records audited annually. The bond may be increased as needed and this shall be determined by the Executive Committee.
ARTICLE V COMMITTEES
A. Executive Committee
1. The Executive Committee shall be composed of the President, Vice-President, immediate past President, Secretary,
Treasurer and such additional members of the Executive Committee as are appointed by the President, for a total of seven
to thirteen members. Members of the Executive Committee shall serve for a minimum of two years and until December 31st
of the next two-year term, or until their successors are duly chosen and qualified.
2. The Executive Committee shall meet at such time and place as may be designated by the President. Notice of the
meeting of the Executive Committee shall be communicated to members of the Committee at least seven days in advance of
such meeting. A simple majority of the Executive Committee shall constitute a quorum for the transaction of official business,
and an affirmative vote of the simple majority shall constitute an act of the Executive Committee. The Executive Committee
shall also be empowered to act by the written consent or by telephone call of the simple majority of the Executive
Committee.
3. The Executive Committee shall have the authority to fill any and all vacancies of the STNinJC.
4. The names and addresses of the members of the Executive Committee shall be published on the STNinJC's Website.
B. Nominating Committee
1. The Nominating Committee shall be composed of a Chairperson and four other members appointed by the Executive
Committee. A candidate for a vacant office shall not serve on the Nominating Committee. The most recent Past-President
shall serve as Chair of the Committee.
2. The Nominating Committee shall nominate candidates for the offices of President, Vice-President, Secretary, and
Treasurer for a two year term of office, which will expire on December 31st at the end of the two year term.
C. Disciplinary Committee
1. The Disciplinary Committee shall be an Ad Hoc Committee appointed on an as-need basis when disciplinary action(s)
involving STNinJC member(s) arise(s).
2. The Disciplinary Committee shall be composed of a Chairperson and four other STNinJC members appointed by the
Executive Committee.
3. The Disciplinary Committee shall have the authority invested in it by the Executive Committee to investigate disciplinary
complaint(s) brought to it by the Executive Committee.
4. The Executive Committee shall have the final authority to adjudicate the resolution recommended by the Disciplinary
Committee or to take other action leading to the final resolution of the complaint(s).
5. Action taken by the Executive Committee against any member of the STNinJC shall be conducted in accordance with
Robert’s Rules of Order, 9th Edition, Reference Chapter XX #60 which, in part, reads as follows:
Although ordinary societies seldom have occasion to discipline members, an organization or assembly has the ultimate right
to make and enforce its own Rules, and to require that its members refrain from conduct injurious to the Organization or its
purposes. No one should be allowed to remain a member if his retention will do this kind of harm. A trial by the STNinJC
cannot legally establish the guilt of the accused as understood in a Court of Law, it can only establish the member’s guilt as
affecting the Organization’s judgments of the member’s fitness for to maintain membership in the Organization as an Officer,
as a Committee member, or as a participant in activities of the Organization.
ARTICLE VI NOMINATIONS AND ELECTIONS
A. The Nominating Committee shall place in nomination the names of candidates for the offices of President, Vice-
President, Secretary, and Treasurer. The slate of Officers shall be submitted to the Executive Committee for review. Upon
approval of the slate of Officers by the Executive Committee, the Nominating Committee shall communicate the slate of
Officers to the active membership. Nominations from the floor shall only be taken from members who are present at the Fall
General Meeting preceding the new term on January 1st. No proxies shall be permitted.
B. Simple majority of those present at the Fall General Meeting shall determine election of Officers. The elected slate of
Officers shall be announced at the next General STNinJC Meeting.
C. Any member against whom a disciplinary action has been taken and upheld by the Executive Committee shall be
barred from serving as an Officer or member of a STNinJC Committee.
D. A transitional meeting for immediate Officers and incoming Officers shall be held before December 31st following the
Fall General STNinJC Meeting.
ARTICLE VII FINANCES
Operating Budget
Funds required for the operation of the STNinJC shall be derived from the members’ annual dues, contributions, fund
raisers, or other resources available to the Organization. The Executive Committee shall develop the operating budget.
ARTICLE VIII AMENDMENTS
A. Any member of the STNinJC may propose amendments to the Bylaws by submitting such amendment in writing to the
President.
B. When a written proposal for an amendment has been received by the President, it shall then be referred to the
Bylaws Committee, appointed by the President.
C. The Bylaws Committee shall have thirty days to review the proposed amendment before submitting their
recommendation to the President. Text of amendment(s) to be considered shall be received by the President in a timely
manner (one to three days) prior to the next Executive Committee Meeting.
D. The President shall present the recommendation of the Bylaws Committee to the Executive Committee at their next
meeting.
E. Approval of an amendment requires a quorum, simple majority, of the Executive Committee.
F. The sponsor of each amendment shall be notified of the decision of the Executive Committee.
G. All STNinJC members shall be provided a copy of the Organization's Bylaws and they shall appear on the STNinJC's
Website.
ARTICLE IX PUBLICATIONS AND COMMUNICATIONS
A. The official means for communicating with the members of the STNinJC shall be electronically by way of Emails.
Those members who do not have access to electronic communications shall receive their communications by way of the
United States Postal Service.
B. The STNinJC's official publication source shall be the Organization's Website.
ARTICLE X CALENDAR YEAR
The year of the STNinJC shall be on a calendar year basis beginning January 1 and extending through December 31.
